Overview of Modifications to By-Laws - 2014

Overview of Modifications Made to Article XII and XIII of the DVCC By-Laws

The By-Laws and Policies and Procedures Committee, consisting of Larry Wilkens, Chairperson, Jim Cook, and John Sabbagh, recently relooked at the proposed changes to Articles XII and XIII of the By-Laws that had been before the Board for a considerable amount of time. The Committee took into consideration comments made by the Board at previous Study Sessions and Board meetings, comments obtained from recent interviews with most Board members and comments offered by both member and non-member residents of Dreamland Villa.

Besides taking into consideration the various comments received, the Committee also considered the need to increase the level of membership. To this end, the Committee felt the proposed modifications should have first, a positive effect on and promote membership in the Dreamland Villa Community Club and second should, where reasonable, respond to the comments received. The Committee’s recommendations were submitted to the DVCC Board of Directors at its May meeting for approval. Following is a summary of the modifications to Article XII and Article XII of the By-Laws passed by the Board at this meeting:

Article XII of the By-Laws:
The entire Article was reorganized to be more comprehendible.
The delineation of the apartments that are not located within the 18 sub-sections of Dreamland Villa but from which renters are allowed to join the Dreamland Villa Community Club was revised to be more explicit. Prior to this change, it was unclear which apartments were included.

The definition of a voting membership was revised to include all persons residing in Dreamland Villa (the 18 sub-sections plus the apartments outside of the 18 sub-sections specifically identified) when they have paid in full the annual dues amount plus other required fees. An individual with a voting membership may vote in all elections, vote on all business matters brought to the General Membership, run for the Board of Directors, serve on committees and attend all Club meetings. Social memberships will only be available to live-in housekeepers, care givers and boarders. An individual with a social membership will only be able to participate in Club activities, attend Club social events and serve on committees. Owners who are not Dreamland Villa residents will not be eligible to obtain a membership in the Dreamland Villa Community Club. Prior to this change, renters were eligible only for a social membership, could not run for the Board of Directors, could not serve on committees and could not vote.

The membership dues for all classes of membership will be the same.

The Board may raise the annual membership dues amount to 18% (from 10%) without approval of the General Membership.
The Board may establish, and from time to time modify, a one-time initiation fee to be imposed on new property owners. The initiation fee charge will be the same regardless of the number of occupants in a residence. Note: While the Board authorized initiation fees, it did not authorize an amount to be charged when it approved the modifications to the related Policy and Procedure thus effectively eliminating the initiation fee for the time being. Prior to this change, the initiation fee was $400.
The Board may establish, and from time to time modify, a re-activation fee for memberships not renewed within 90 days of the due date but ultimately paid within the same membership year. Note: While the Board authorized re-activation fees, it did not authorize an amount to be charged when it approved modifications to the related Policy and Procedure thus effectively eliminating the re-activation fee for the time being. Prior to this change, the re-activation fee was $125.

The Board may establish, and from time to time modify, a reinstatement fee for memberships allowed to lapse into subsequent years. These memberships may be reinstated by paying the reinstatement fee plus the most recent one year’s membership dues. Note: While the Board authorized reinstatement fees, it did not authorize an amount to be charged when it approved modifications to the related Policy and Procedure thus effectively eliminating the reinstatement fee for the time being. Prior to this change, the reinstatement fee was $275.

Proration of the membership dues for new members was modified to include all new members and defining a new member as someone who has not been a member of DVCC during the past two membership years.
If one individual in a residence becomes a voting member, all persons living in that residence eligible to become a voting member must also pay membership dues.

Membership cards shall only be issued to individuals, not to groups of individuals.
All references in the Article XII relating to the second amendment of the CC&R’s were deleted.

Article XIII of the By-Laws:
This Article was totally deleted since it only related to the second amendment of the CC&R’s.
General:
All changes were effective on the day they were passed, Tuesday, May 13, 2014.
