Board of Directors Minutes
April 10, 2012



President Jerald Westall called the meeting to order at 9:00 AM.   The Pledge of Allegiance was    given.  Roll call:  Wendall Black, Jim Cook, Judy Ford, Agnes Forsyth, Doris Gruner, Steve Holleque, Mary Kirk, Frances Skaggs, Patricia Thorpe, Gordon Watson, Jerald Westall, Larry Wilkens, Gloria Wilson-White and Lyle Wood.

An approval of February 27, 2012, election minutes was brought forth.  Motion made by Jim Cook to approve.  Seconded by Judy Ford.  Motion carried.

Lyle Wood made a motion to approve minutes of the March 13, 2012, Directors meeting.  Seconded by Agnes Forsyth.  Motion carried.

 April 3, 2012, study session minutes – a motion was made to table until the May meeting.  Motion made by Jim Cook.  Motion carried.

March 27, 2012, minutes on policy and procedures.  Motion made by Frances Skaggs to approve, seconded by Larry Wilkens. Motion carried.

Treasure’s Report – Patricia Thorpe reported that the Dreamland Villa Board recommended that Chapter 11 bankruptcy be filed.  Bankruptcy was filed on March 22, 2012.  It was a decision made by all Board members to file Chapter 11 due to several lawsuits filed by 24 Dreamland Villa owners over the past several years.  We all agreed it was the best thing to do at this time, as our attorney advised us.   This will be reported in the May Citizen.
 
Expenses for January, February, and March were $144,064.00.  Annual dues through the end of March collected were $335,278.50.  Report is on file.  

Service Manager Report – Charles Dubbs.  The office has been working with title companies and real estate offices on sales and our current system.  On the placing of garbage cans, the rule has not been changed on where to place the can.  Report on file. Garbage can placement to be brought up at the next study session.

 President's Report – Jerald Westall – Donna Zurbay has been appointed as coordinator for next (2012-2013) to organize all volunteers for committees.

Standing Committee Reports:
 
Maintenance Report :  Steve Holleque – Steve reports there have been various repairs made.  Some doors still not locked.  Exercise bikes need to be replaced.  Report on file.

Membership:  Agnes Forsyth -- Membership payments as of March31, 2012  - we processed 2780 residents, and 181 social memberships for a total of 2961.  We are still processing memberships coming in.  Agnes recommended that social memberships be issued.  Jim Cook recommends this be taken to the attorney, as it does affect the CC&R's.  This will be brought up again in October.

Complaints:  Gordon Watson – 69 complaints.  33 sent to county, 13  DVCC open, 23 complaints closed.  

Entertainment:  Red Westall reports there will be a Spring Fling on Saturday, April l4.  Celebrity Impersonators have canceled their May performance.

Library :  Agnes Forsyth – Did not receive a written report from the library.  However, volunteers are needed to work in the library.

Hobbies and Crafts – No report
Contract Committee – No report.
Outdoor Recreation – No report.

Kitchen Committee:  Judy Ford – Last pancake breakfast to be held on April 21.  The Ice Cream Social will begin in May.  It will be held the second Tuesday of the month from 1:00 to 3:00 PM at Farnsworth  Hall  The last potluck will be April 19 at 6:00 PM along with a sing-a -long.

Nature Walk: Jerald Westall has talked with WAPA in regard to grinding and removal of debris in the walk.  A workday will be set up in May.

     Welcome Committee --   No report.  
      Strategic Planning – No report.
     Website – No report

Old Business:
 Lighting rebate: 3 sets of documents from SRP, also a proposal from G&A Services as to estimate costs for Read Hall and Farnsworth.  Recommended by Larry Wilkens to approve based on review by contract committee and subject to Clint Smith for bankruptcy court to approve expenditure.  Seconded by Jim Cook.  Motion carried – approved by all members.

Jam Sessions – Jams at Farnsworth Hall need a set schedule. They would like one (1) Friday afternoon a month.  Committee will consider all facts.

 Pool Heat – It was voted on October 11, 2011, passed by the Board at that time that the heat would be turned off after five (5) consecutive days of 80-degree ground temperatures.

New Business:
Red Westall presented the new standing committees for 2012-2013.  A motion presented by Gordon Watson to approve.  Motion carried.

Open House: Charles Dubbs – The open house for 2013 is to be held on January 12, 2013.   Mary Ann Glauner to head up if possible.
 
Farnsworth Hall Operation:  Ralph Shirey stated he could no longer be in charge.  Volunteers and a person to be in charge of activities held at Farnsworth are needed.

Policy and Procedures: Jim Cook stated the committee is reviewing all committees and rental rules for the facilities.  Mr. Cook recommends putting on hold Operation for Farnsworth Hall until the  committee review.

Bank Resolution:  A motion was made by Jim Cook to ratify the bank resolution, signed by the following board members on March 23, 2012: Jerald Westall, Lyle Wood, Mary Kirk, Patricia Thorpe, Jim Cook, Judy Ford, Gordon Watson, and Larry Wilkens.  Seconded by Larry Wilkens.  Motion carried.

Lyle Wood was sworn in by President Westall to be a member of the board as Vice President.

A Motion to adjourn by Larry Wilkens.  Seconded by Gloria Wilson-White. The meeeting was adjourned.
